As a boutique firm, QC adopts best and leading practices of corporate governance. This is based on our commitment to be vigilant, transparent and clear on how we manage our consulting business to the stakeholders.
Board of Directors
The Board consist 3 members; Mujahid Abdul Wahab, Azli Mohamed and Noriswadi Ismail. All are Malaysians Executive Directors, having the share composition of 35:35:30.
Company Secretary
QC Company Secretary is Rozy Bin A. Razak having the license number LS01706 and registered address at First Tax & Management Services, No. 63, Level 1, Jalan Dato’ Hj Eusoff, Damai Complex, Off Jalan Ipoh, 50400 Kuala Lumpur.
Any matters that relate to due diligence of our statutory documents could be addressed to QC’s Company Secretary: firstax@streamyx.com. Such correspondence must also be informed to us beforehand.
Auditor and Tax Advisor
QC also retains the role of First Tax & Management Services as its Auditor and Tax Advisor. If there is any conflict of interests between their role during such due diligence from other stakeholders’ auditors / solicitors or professional advisers, QC will pursue for a secondary professional opinion in relation to a specific subject matter that is requested.
Meetings
QC Memorandum and Articles of Association allow the conduct of board and executive meetings through virtual mode. Such confirmed minutes of meetings are kept digitally (in a cloud server). The frequency of meetings varies, depending upon the nature and complexity of a particular agenda. Generally, the members of the Board frequently communicate through e-mails, mobile and Skype.
Extract Resolutions
QC, via its Company Secretary, will instruct independently and without any conflict of interest to issue Extract of Board’s resolutions for such purposes that are deemed reasonably fit.
Risk Management
QC observes to adopt a reasonable system of internal controls relating to its business through its Terms of Business, agreements, policies and procedures and in adherence to the recommended best practices. These controls are reviewed quarterly in ensuring its prevalent effectiveness to QC consulting business.
Continuous Compliance
QC, will at all times, observe continuous compliance to the Malaysian Company Laws and other administered legislation that affects QC’s business. Similar approach is also observed to other cross-border legislation, compliance and regulations where QC has had substantial interests of partnership and business.
